Yiftach is also advising and representing claimants and managing legal disputes pertaining to project issues, drafts and negotiates cross-border commercial transactions and procurement contracts, and provides in-depth legal advice in the course of project and business development phases, as well as in purchase, sale and investment transactions in the project and infrastructure industry.

The extensive experience and knowledge Yiftach has acquired over the past decade, coupled with his unique experience as an internal legal advisor for a global engineering and projects company, enables Yiftach to better understand and address the challenges his clients are facing. Yiftach’s superior legal skills, together with his commercial and engineering understanding of the project and infrastructure world, produce intelligent, effective, sound and out of the box outputs that make the difference.

Yiftach has gained extensive experience in handling dozens of key transactions and projects, some of which are the most significant and pioneering projects and transactions in Israel to date, totalling some dozens of billions of dollars, representing and consulting the various players in the field, including prominent developers, banks and financial institutions, local and global contractors, and major suppliers – from the development stages, through the financial closings and throughout the engineering, procurement, construction and delivery stages.

Yiftach has been involved in the majority of the gas-fired power plants in Israel, has been involved in dozens of renewable energy projects and has been involved various other projects in the transportation, water, classified infrastructure projects, natural resources projects, including construction of global industry leader’s high-tech facilities in Israel.

Commercial work:

Yiftach has vast experience and expertise in handling, managing the negotiation and closing hundreds of local and cross-border commercial transactions, and is most versed in handling complex contractual and disputes processes also during the performance and delivery thereof. Over the years, Yiftach has led negotiation processes of long-term services agreements, sale and supply agreements, engineering and technology, procurement, design, build and EPC agreements, O&M agreements, logistics agreements, franchises, software and distribution, licensing and sales agreements, as well as the development and implementation of commercial contract suits for both local and global projects and procurement processes.

Banking and finance:

Yiftach is particularly experienced in financial transactions and has been involved in some of the largest and more complex financings and financial closings in Israel, including the representation of two borrowers in the two most-iconic financial closings for two of the largest power plants in Israel to date. Yiftach drafts and negotiates financing agreements for debt and capital raisings in various form of financing, including corporate financing and project financing, and is experienced in administering financial closings and ongoing operation during the loans’ lifecycle. In this area of expertise, Yiftach advises and represents prominent developers and project companies as well as major banks and institutional lenders, and also handles consortium and syndicate agreements.


Yiftach is knowledgeable and experienced in both representing issuers and bidders in public and private RFP processes and procurement tenders, construction and PPP/BOT/PFI government tenders, including tenders issued by the Ministry of Defense, Ministry of Energy, Ministry of Transportation, Ministry of Finance and the US Army Corp of Engineers (COE).

Construction disputes and contractual claims:

Yiftach possesses unique expertise in the area of project management and ongoing construction affairs, including in mega-projects. In this framework, Yiftach advises and represents employers, main-contractors and major sub-contractors, throughout the project execution and delivery stages, including in the course of change order approvals, commercial negotiation and ongoing claims, as well as legal consultation in dispute, arbitrations and professional consultation in complex construction litigation.

Corporate law:

Yiftach is providing legal advice to managements and boards of directors, in handling shareholder and partnership agreements, corporate governance administration, risk management, shareholder disputes, regulation, crisis management and legal disputes, as well as handling specialized M&A processes, of companies, assets and operations, private equity transactions and ongoing business development and strategy.
